TOOTH RECRUIT PTY LTD TERMS AND CONDITIONS OF PERMANENT STAFF BASIC INTERPRETATION

The below indicated words have the following meanings in these terms and conditions of service unless the contrary is stated: i) Practice is to read as a reference to the dentist or dental surgery that Tooth Recruit Pty Ltd is to provide recruitment services in the form of the provision of full time and part time permanent staff introduction. ii) Candidate is to read as a reference to any person identified, selected and introduced by Tooth Recruit Pty Ltd to the practice for any permanent employment. iii) Employee is to read as a reference to permanent full time or part time employment.

GENERAL INTERPRETATION

The terms and conditions relate to the provision by Tooth Recruit Pty Ltd of recruitment services to the practice. These terms and conditions may be modified or amended in writing to the practice or dentist at any time by Tooth Recruit Pty Ltd. Tooth Recruit Pty Ltd will provide the recruitment of permanent staff on these terms only. Acceptance of recruitment services from Tooth Recruit Pty Ltd will be deemed to be acceptance by the practice of these terms and conditions. If the practice orders variations and are agreed to then confirmation in writing will be forwarded. The practice accepts these terms and conditions when Tooth Recruit Pty Ltd introduces a candidate for the practice to employ on a permanent basis. This occurs when we send the practice the candidates details.

PAYMENT

The practice agrees to pay the amount for the provision of permanent full time or part time staff introduction, which are set out in the separate fee schedule provided to the practice by Tooth Recruit Pty Ltd. The practice must pay Tooth Recruit Pty Ltd if the practice employs a candidate, which Tooth Recruit Pty Ltd has introduced to the practice. The practice must pay the whole amount as per the agreed payment option outlined in the received fee schedule. The practice must also pay on the grounds if: i) The practice employs a candidate whom Tooth Recruit Pty Ltd previously introduces to the practice within 12 months following that introduction ii) The practice passes on to a third party any details of the candidate introduced by Tooth Recruit Pty Ltd and that third party employs the candidate. In the event that it is necessary for Tooth Recruit Pty Ltd to seek legal remedies to obtain payment amounts owed to it by the practice. The practice agrees to reimburse Tooth Recruit Pty Ltd for all its legal expenses when Tooth Recruit Pty Ltd is successful in obtaining a judgement against the practice or third party for any or all of the outstanding amounts.

ASSIGNMENT PROSPECTING

A service fee equivalent to 1.0% of the estimated salary package may be charged if work in any assignment has proceeded to presentation stage and the final appointment is made from another source (either internally from the practice company or externally). This fee is to cover disbursements, including advertising, consultants time, resume preparation, telephone calls, couriers and other incidental costs incurred. In the instance of a fee being charged, details will be specified in the assignment confirmation letter prior to any work being undertaken. Should this fee be applicable, it will be invoiced upon cancellation of the recruitment assignment and due and payable within seven ( 7 ) days.

ADVERTISING

If Tooth Recruit Pty Ltd undertakes a specific advertising campaign on behalf of the practice, the practice will be invoiced as agreed.

SUITABLITY OF CANDIDATES

Tooth Recruit Pty Ltd will take all care in presenting accurate information to the practice. However Tooth Recruit Pty Ltd does not accept liability for the accuracy and competency of information provided by the candidate or any third party. Tooth Recruit Pty Ltd endeavours to ensure that the candidate introduced to the practice is suitable for the position that the practice has described to Tooth Recruit Pty Ltd. However Tooth Recruit Pty Ltd does not accept any liability for any loss, damage, or delay however caused in connection with the introduction of a possible candidate. Further Tooth Recruit Pty Ltd does not accept any liability for any loss, expense, damage or delay as a result of anything done or omitted by the candidate either before or after the candidate becomes the practices employee.

EMPLOYMENT DECISIONS

Tooth Recruit Pty Ltd has no authority to employ a candidate for the practice and the decision to employ a candidate lies solely with the practice. It is the responsibility of the practice to satisfy all medical requirements.

TOOTH RECRUITS GUARANTEE If the practice or the candidate terminates the employment, within a four week period of commencement of employment, Tooth Recruit Pty Ltd will give the practice first right of refusal on candidates on file. Tooth Recruit will negotiate with the practice a credit on fees only if: i) The practice has paid or agreed to pay the full fee within the terms set out in the fee schedule. ii) Tooth Recruit Pty Ltd have conducted verbal reference checks prior to commencement of employment iii) The practice notifies Tooth Recruit Pty Ltd within seven (7) days of the practice or the candidate giving notice of termination. iv) The termination is not a result of redundancy. v) The termination is not a result of a change in the employees job specification or status of the practices particular work practices, which have not been made known to Tooth Recruit Pty Ltd.

ACCEPTANCE

Tooth Recruit Pty Ltd will provide the recruitment of permanent staff on these terms only. Acceptance of recruitment services from Tooth Recruit Pty Ltd will be deemed to be acceptance by the practice of these terms and conditions. If the practice orders variations and are agreed to then confirmation in writing will be forwarded. The practice accepts these terms and conditions when Tooth Recruit Pty Ltd introduces a candidate for the practice to employ on a permanent basis. TERMS AND CONDITIONS OF TEMPORARY STAFF BASIC

INTERPRETATION

The below indicated words have the following meanings in these terms and conditions of service unless the contrary is stated: i) Practice is to read as a reference to the dentist or dental surgery that Tooth Recruit Pty Ltd is to provide recruitment services in the form of the provision of temporary staff or other consulting services ii) Fixed term contract is to read as a reference to the placement of temporary staff for a certain fixed period of time. iii) Candidate or Temporary is to read as a reference to any person identified, selected and introduced by Tooth Recruit Pty Ltd to the practice for any recruitment services. iv) Temporary Booking is to read as a reference to the period of work that the candidate or temporarys services have been contracted to the practice by Tooth Recruit Pty Ltd for a specified period of time.

GENERAL

The practice accepts these terms and conditions when Tooth Recruit Pty Ltd introduces a candidate for the practice to employ on a temporary basis. This occurs when we send the practice the candidate’s details. Diligent Selection Tooth Recruit Pty Ltd will take all care in presenting accurate information to the practice. However Tooth Recruit Pty Ltd does not accept liability for the accuracy of information provided by the candidate, temporary or third party. We use all reasonable efforts to provide a temporary employee in accordance with your requirements and to ensure reasonable standards of competency, integrity and reliability from the temporary or fixed term contractor. Subsequent Employment The practice agrees to pay the standard fees to Tooth Recruit Pty Ltd where any candidate introduced to the practice by Tooth Recruit Pty Ltd is: i) Subsequently employed or engaged by the practice on a permanent, temporary or contract basis, within 12 months of introduction, or ii) Subsequently introduced by the practice to a third party and the candidate is then employed or engaged by the third party on a permanent, temporary or contract basis, within 12months of introduction whether such employment or engagement is at the instance of the candidate, practice or third party. Payment The practice agrees to pay the amount for the provision of temporary or fixed term staff, which are set out in the separate fee schedule provided to the practice by Toot Recruit Pty Ltd. The practice will be required to pay the wage directly to the temporary or fixed term contractor and be charged Tooth Recruits introductory fee as agreed. The temporary or fixed term contractor must be paid for all hours (including part hours in 15minute segments) worked. Tooth Recruit Pty Ltd charges will be billed weekly based on completed and practice - authorised time sheets received by Tooth Recruit Pty Ltd When the practice temporary employs the temporary must be paid at the end of the working day or working week. If payroll structure does not allow for this the client must notify of this immediately. All temporary services and fixed term contract fees are payable within seven days of invoice date ( unless otherwise agreed in writing ). Time of payment is paramount and is the essence of the service provided. In regard to daily booking and permanent placement fee a late fee of $32 will apply if the invoice has not been of paid within a 30 day period from the date invoice. In the event that is necessary for Tooth Recruit Pty Ltd to seek legal remedies to obtain payment amounts owed to it by the practice, the practice agrees to reimburse Tooth Recruit Pty Ltd for all its legal expenses when tooth Recruit Pty Ltd is successful in obtaining judgment against the practice for any or all of the outstanding amounts.

TEMPORARY SERVICES

Guarantee No charges will be incurred or invoiced if a temporary proves to be unsatisfactory and Tooth Recruit Pty Ltd is informed of this within (4) four hours of the commencement of the temporary assignment. Should a temporary be found unsatisfactory by the practice at any time after the first four hours of an assignment, Tooth Recruit Pty Ltd shall use its best endeavours to replace the temporary subject to payment by the practice of Tooth Recruit Pty Ltd full charges in respect of the assignment. Rates and allowances In consideration of the temporary services the practice agrees to pay the hourly rates for each specific assignment as set out in a separate schedule or agreed to time. If the temporary is on a temporary booking or fixed term contract with the practice for a period of more than 30 working days the practice acknowledges that Tooth Recruit Pty Ltd will under no circumstances offer a permanent placement fee in lieu of temporary rates. The practice will be invoiced for all the days that the temporary or fixed term contractor is employed by the practice or by Tooth Recruit Pty Ltd on behalf of the practice. Accident Compensation/Health and Safety in Employment The practice agrees that it will take all practicable steps to ensure the health and safety of the temporary while at work at the premises of the practice. The practice further agrees to comply with any codes of practice usually adopted in the practice’s industry pursuant to the Occupational Health and Safety Act 2000, and any subsequent amendments relevant to the temporaries work. The practice will also advised the temporary of all necessary health and safety issues and specific hazards and procedures applicable to the practice work place and will advise the temporary of any impacts that may arise in respect of those obligations. The practice also agrees to provide proper supervision and information to the temporary, to enable the temporary to achieve a reasonable standard of workmanship. The practice must comply with all legal obligations concerning the temporary as if employed the temporary directly. These obligations include a non-discriminatory, non-harassment and safe working environment. Liability The practice acknowledges and agrees that they: i) Shall indemnify Tooth Recruit Pty Ltd against any liabilities, loss, damages or expense arising out of any assignment to the practice. ii) Will be responsible for all acts and omission of any temporary while on a temporary booking or fixed term contract whether willful or negligent, and whether occurring on or off the premises of the practice or the place of performance of the temporary booking or fixed term contract. iii) Shall Indemnify Tooth Recruit Pty Ltd against all liabilities, losses or damages suffered or incurred by any third party (direct, indirect or consequential) arising out of or in connection with any omission of the temporary booking or fixed term contract to the practice. iv) Will be responsible for ensuring that all formal offers of employment to candidates or temporaries are done so in accordance with these terms and conditions with notice to Tooth Recruit Pty Ltd. Insurance The temporary is not covered under any insurance policy of Tooth Recruit Pty Ltd. In the event the temporary handles valuable, cars, cash, machinery, documentation or equipment whether on or off the premises of the practice, the practice will make immediate arrangements for the temporary to be endorsed on the insurance policy of the practice with the appropriate cover for their specific circumstances. Minimum Bookings/Cancellations: A minimum booking time of (4)hours applies. Cancellations must be advised to Tooth Recruit Pty Ltd by the practice a minimum of 24 hours prior to the commencement of the temporary booking or fixed term contract. In the event that the practice fails to advise Tooth Recruit Pty Ltd within the above time periods, the practice shall pay Tooth Recruit Pty Ltd a fee equal to the daily agency temporary booking fee as seen on the separate fee schedule. Confidentiality Every candidate, as a condition of their acceptance of a temporary booking or fixed term contract, has signed a confidentiality clause in their contract which states all work conducted for the employer and the practice is of confidential nature. Consequentially we may not divulge or use, either for our own benefit or that of others, any confidential information during the employment. Confidential information refers to any information (written or oral which is not publicly available unless such information became public domain by unauthorised disclosure. This obligation extends beyond the period of employment with Tooth Recruit Pty Ltd

ACCEPTANCE

Tooth Recruit Pty Ltd will provide the recruitment of temporary or fixed term contract staff on these terms only. Acceptance of recruitment services from Tooth Recruit Pty Ltd will be deemed to be acceptance by the practice of these terms and conditions. If the practice orders variations and are agreed to then confirmation in writing will be forwarded. The practice accepts these terms and conditions when Tooth Recruit Pty Ltd introduces a candidate for the practice to employ on a temporary or fixed term contract basis.
